These Terms and Conditions (the “Terms”) set out your rights and obligations when accessing or using our websites (including www.nubeto.com), mobile applications (including the Nubeto App), software platforms, and all related content, features, documentation, products, and services offered through them (collectively, the “Site”), which are provided by NBT NA LLC (“Nubeto,” “we,” “us,” or “our”). These Terms form a complete and binding legal agreement between Nubeto and you—the user of the Site or purchaser of any Nubeto product specified in an order (referred to as “you” or “your”). Please read them carefully before proceeding.

BY ACCESSING OR USING THE SITE, YOU CONFIRM THAT YOU ACCEPT AND AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY (AVAILABLE AT https://www.nubeto.com/pages/privacy-policy), WHICH IS INCORPORATED BY REFERENCE. IF YOU DO NOT AGREE TO ANY PART OF THESE TERMS OR THE PRIVACY POLICY, YOU MUST STOP USING THE SITE IMMEDIATELY.

By using the Site, you represent and warrant that you are at least the legal age of majority in your jurisdiction and have the full capacity to enter into a binding contract with Nubeto. If you are below this age, you are not permitted to access or use the Site.

When you place an order to purchase a Nubeto product (“Product”), you additionally confirm that:

  • you have reviewed and agree to these Terms;
  • you possess the full power and authority to accept these Terms (and to bind any company or entity on whose behalf you are acting); and
  • you may be required to create an account in the Nubeto App to unlock all Product functionalities.

We reserve the right to revise, update, or modify these Terms at any time in our sole discretion, with or without prior notice. Any changes take effect immediately upon posting, and the “Last Updated” date at the top of this page will reflect the revision. Your continued use of the Site after such modifications means you accept the updated Terms. We encourage you to check this page periodically. If we make what we consider a material change, we will provide reasonable advance notice where feasible.

We may change, suspend, withdraw, or terminate any portion of the Site at any time, in our sole discretion, without notice. We will not be liable if the Site (or any part of it) becomes unavailable for any reason or for any period.

1. Nubeto App and Account Registration

To unlock full functionality of the Products and certain areas of the Site, you must register for an account (“Nubeto Account”) through the Nubeto App. The Nubeto App is our proprietary application that connects with your Products to let you control them remotely, create schedules, activate special modes, monitor energy usage, set up zones, and access other features that may be added over time.

Registration requires your full name and a valid, active email address. You are entirely responsible for keeping your account password confidential and for every activity that takes place under your Nubeto Account. Although we implement reasonable security measures to protect your account, we cannot guarantee absolute security or prevent all unauthorized access or hacking attempts. If you discover or suspect any security breach, you must notify us immediately at support@nubeto.com and take immediate protective steps, such as updating your password.

We may suspend or terminate your Nubeto Account, username, password, or any other identifier (whether chosen by you or assigned by us) at any time, for any reason or no reason, including any breach of these Terms.

2. License and Permitted Use of the Site and Products

Provided you comply fully with these Terms and our Privacy Policy, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Site solely for your personal, non-commercial purposes. This license does not allow you to download (beyond standard page caching) or modify any part of the Site without our prior written consent. We also grant you a limited, revocable, non-exclusive right to link to our website or use any dynamic deep links we provide, as long as the link does not contain false, misleading, derogatory, or offensive content.

The Nubeto App requires certain system elements to function properly, including:

  • a reliable home Wi-Fi network capable of communicating with your Products;
  • an active Nubeto Account;
  • a compatible wireless device (such as a smartphone or tablet) for some features;
  • continuous broadband internet with adequate bandwidth; and
  • any other requirements we may specify.

It is your sole responsibility to ensure all necessary components are present, compatible, and correctly configured. The Products and Site may not perform as described if these requirements are not met. Any changes you make to your setup are your responsibility to verify for compatibility.

We may temporarily suspend the Site without notice for security, maintenance, repair, system failure, or any other reason. You will not receive any refund or credit for such interruptions, and we provide no uptime guarantees.

You alone are responsible for installing, using, and maintaining the Products and the Site. Installation guidance we provide is for general reference only. IF A PRODUCT IS INSTALLED INCORRECTLY, OR IF SENSORS ARE BLOCKED, OUT OF RANGE, OR OBSTRUCTED BY WALLS, FURNITURE, OR OTHER OBJECTS, YOU MAY ENCOUNTER FALSE ALERTS OR MISSED DETECTIONS. You must test the Products thoroughly after installation and on an ongoing basis to confirm they operate as intended. You are also responsible for ensuring the Product complies with all applicable local codes and regulations before installation.

The Products and Site (whether used alone or with third-party services) are not certified or intended for emergency response unless we explicitly state otherwise. We make no representation that they will improve safety in any way. Under no circumstances will Nubeto dispatch emergency services to your location. The Products and Site, including remote access and mobile notifications, are not 100% reliable or error-free and may experience interruptions due to coverage issues, power outages, service terminations, interference, system maintenance, or other factors. You agree not to rely on them for life-safety or critical purposes. Mobile notifications are for information only and do not replace a professionally monitored emergency system.

All information about the Products and their integration with other devices is provided “as is” and “as available.” We do not guarantee its accuracy or timeliness, and it should not replace direct verification in your home where critical.

3. Submissions

Any questions, comments, suggestions, ideas, feedback, reviews, testimonials, photos, videos, or other materials you submit to us—whether through the Site, email, or otherwise (collectively, “Submissions”)—are considered non-confidential. We may use and disseminate them for any purpose, commercial or otherwise, without acknowledging or compensating you.

By submitting content, you automatically grant Nubeto a perpetual, irrevocable, worldwide, royalty-free, transferable, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, create derivative works from, and display your Submissions in any medium or format. You also waive any moral rights or authorship claims. You represent that you own or control all rights to the Submissions, that they comply with all applicable laws and our content standards, and that they do not infringe any third-party rights.

You remain fully responsible for your Submissions and any resulting liability. We are not responsible or liable for their content or accuracy.

4. Conditions of Use

As a condition of your access and use, you agree not to:

  • copy, modify, reverse engineer, disassemble, decompile, or create derivative works of the Site or Products;
  • rent, lease, sell, sublicense, distribute, or publicly perform any part of the Site;
  • remove or obscure any copyright, trademark, or proprietary notices;
  • frame or use framing techniques to enclose our trademarks or content;
  • use meta tags or hidden text containing our name or marks;
  • access the Site for competitive analysis or to develop a competing product;
  • deploy scripts, bots, or automated tools to scrape, data-mine, or overload the Site;
  • introduce viruses, malware, or other harmful code;
  • attempt unauthorized access to the Site or its systems;
  • impersonate any person or entity or misrepresent your affiliation with Nubeto;
  • provide false or misleading information;
  • post or submit any content that is obscene, abusive, harassing, defamatory, discriminatory, or otherwise objectionable;
  • engage in conduct that disrupts other users’ enjoyment of the Site or exposes anyone to liability;
  • promote illegal activity; or
  • violate any applicable law or regulation.

You must use the Site and Products only for lawful purposes and in accordance with these Terms.

5. Site Monitoring

We may, without prior notice:

  • remove or refuse any Submissions for any reason;
  • take any action we deem necessary regarding content that violates these Terms;
  • cooperate fully with law enforcement or court orders requesting user information; or
  • suspend or terminate your access for any reason.

You waive any claims against Nubeto or the Nubeto Parties arising from such actions or investigations. We have no obligation to monitor the Site and assume no liability for user-generated content, subject only to applicable law.

6. Intellectual Property Rights

The Site, Products, and all their contents, features, and functionality—including software, code, text, graphics, images, video, audio, design, and layout—are owned by Nubeto, our licensors, or other providers and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

Our name “Nubeto,” logos, product names, designs, and slogans are our trademarks. You may not use them without our prior written permission. Other marks appearing on the Site belong to their respective owners.

Purchasing a Product does not transfer any intellectual property rights to you. You may not reverse engineer, copy, or reproduce any Product. We remain the sole owner of all intellectual property related to the Products and Site.

If you believe any content on the Site infringes your copyright or another party’s, please contact us promptly at support@nubeto.com.

7. Refund Policy

If you purchased a Product directly from Nubeto, we will accept a return for a refund of the purchase price (minus original shipping and handling) if the return is requested within thirty (30) days of purchase (or order release for pre-orders) and the Product is returned in its original, unused condition with all packaging, components, literature, and accessories. We may accept returns of damaged items at our discretion and reserve the right to apply a restocking fee.

To initiate a return, visit our support resources at nubeto.com/support and follow the instructions. Once we receive the returned Product, we will process your refund to the original payment method within approximately thirty (30) days. You are responsible for return shipping costs and bear the risk of loss during transit.

If you purchased through an authorized reseller, you must contact that reseller directly; their return policy may differ from ours.

8. Privacy

Our Privacy Policy, available at https://www.nubeto.com/privacy-policy, explains how we collect, use, and disclose your personal information and is incorporated into these Terms. You also agree to any applicable messaging terms and privacy policies referenced in our communications.

9. Third-Party Services and Sites

The Site interacts with or depends on third-party products and services (“Third Party Services”) that are outside our control. Their reliability may affect the Site’s performance, and we are not responsible for any resulting issues or losses.

For convenience, the Site may link to external websites or resources (“Third Party Sites”). We do not control or endorse them and accept no responsibility for their content or availability. Accessing them is at your own risk, and you should review their terms and privacy policies.

Third-Party Installation Services
If a Product is installed by an independent contractor (even if recommended by us), that installer is not our employee or agent. We make no warranties about the installation quality or workmanship. We are not liable for any property damage, personal injury, or Product issues arising from the installation. All responsibility lies with the installer, and any disputes must be resolved directly with them. You release Nubeto from all related claims.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE NUBETO PARTIES (DEFINED AS NBT NA LLC, OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, AND SUPPLIERS) WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR USE, ARISING FROM YOUR USE OR INABILITY TO USE THE SITE OR PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN EXCLUSIONS OR LIMITATIONS, SO THEY MAY NOT APPLY TO YOU. IN THOSE CASES, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

The Site is operated from facilities in the United States. We make no representations that it is appropriate or available elsewhere; users accessing from other locations do so at their own risk and must comply with local laws.

No advice or information obtained from us creates any additional warranty or liability.

11. Indemnification

You agree to defend, indemnify, and hold harmless the Nubeto Parties from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of: (i) your use of the Products or Site; (ii) your Submissions; (iii) your breach of these Terms or our Privacy Policy; or (iv) your violation of any third-party rights.

We may, at our expense, assume the exclusive defense and control of any matter otherwise subject to your indemnification.

12. Warranties

THE SITE AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE OR PRODUCTS WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR MEET YOUR SPECIFIC REQUIREMENTS. ANY RELIANCE ON INFORMATION FROM THE SITE IS AT YOUR OWN RISK.

The only warranties that apply are those expressly set out in our separate Warranty Policy (available on our support site).

13. Termination

We may terminate or suspend your access to the Site at any time, in our sole discretion, if you breach these Terms or create any risk or legal exposure for us.

14. Product Title and Risk

Title to and risk of loss for any Product pass to you upon delivery to the carrier. Shipping dates are estimates only; we are not liable for delays.

15. Reliance on Information

All information on the Site or included with Products is provided for general informational purposes only. We do not warrant its accuracy, completeness, or usefulness. Any reliance you place on it is strictly at your own risk. Product specifications are subject to change.

16. Entire Agreement; Severability

These Terms, together with our Privacy Policy and any other referenced policies, constitute the entire agreement between you and Nubeto regarding the Site and Products and supersede all prior understandings. If any provision is held invalid, the remainder continues in full force, and the invalid provision will be reformed to reflect the original intent as closely as possible.

17. Assignment

You may not assign these Terms or any rights under them without our prior written consent. Any attempted assignment without consent is void. We may assign these Terms freely.

18. No Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision. A waiver of any breach does not waive any subsequent breach.

19. Force Majeure

We are not liable for any delay or failure to perform due to causes beyond our reasonable control, including acts of God, natural disasters, pandemics, war, terrorism, strikes, or shortages of materials or labor.

20. Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law principles. You agree that any disputes arising out of or relating to these Terms may be brought in the courts located in Wyoming. Notwithstanding the foregoing, Nubeto may bring claims in any jurisdiction where you are located, and nothing in these Terms limits any rights you may have under applicable consumer protection laws in your jurisdiction.

21. Language

The parties agree that these Terms and all related documents shall be written and interpreted in English. Les parties confirment qu’il est de leur volonté expresse et réciproque que cette convention et tout document qui s’y rattache soient rédigés en anglais.
